These Terms & Conditions (“Terms”) govern your access to and use of the SafeTransact website, applications, and services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

  • “SafeTransact” (“we”, “us”, “our”) refers to the SafeTransact software platform and services operated by SEN Solutions (Pty) Ltd (the “Operator”).
  • “User” (“you”, “your”) means any person or entity using the Services.
  • “Buyer” means a party intending to purchase goods or services in a transaction.
  • “Seller” means a party intending to sell goods or services in a transaction.
  • “Transaction” or “Deal” means a set of escrow-related steps, allocations or milestones, and conditions managed via the Services.
  • “Provider” means third parties used to facilitate escrow, payment, or related processing (e.g., TradeSafe or similar providers).

2. Our role (neutral intermediary)

SafeTransact provides tools intended to facilitate escrow-style transactions. Unless explicitly stated otherwise, SafeTransact is not the buyer or seller in any transaction, does not take ownership of goods, and does not guarantee the quality, legality, delivery, or fitness of any goods or services exchanged between users.

3. Eligibility and accounts

  • You must provide accurate information and keep it up to date.
  • You are responsible for all activity performed under your account.
  • You must keep your credentials secure and notify us of suspected unauthorised use.

4. Transactions, conditions, and releases

The Services allow users to define transaction parameters such as allocations or milestones, delivery and inspection timeframes, and release conditions. Funds may be deposited and released in accordance with the transaction rules and the Provider’s processes. By using the Services, you agree that releases may occur based on the defined transaction conditions and/or Provider rules.

5. Fees

SafeTransact may charge fees for use of the Services, which may include percentage-based fees, fixed fees, or Provider fees. Applicable fees will be disclosed in the transaction flow or related documentation.

6. Prohibited use

You may not use the Services to:

  • Engage in unlawful activity, fraud, or misrepresentation.
  • Violate third-party rights, including intellectual property rights.
  • Transmit malware, attempt unauthorised access, or disrupt the Services.
  • Use the Services to facilitate prohibited or restricted goods or services.

7. Disputes

SafeTransact may provide tools to assist with dispute workflows but does not act as a court or final arbiter unless explicitly stated. Dispute handling may depend on the Provider’s processes and the available evidence. Users remain responsible for resolving disputes and complying with outcomes required by applicable law or Provider rules.

8. Third-party providers and links

The Services may integrate with third-party providers, including escrow, payment, and identity verification services. Your use of such services may be subject to their own terms and privacy policies. SafeTransact is not responsible for third-party services and does not control their operations.

9. Availability and changes

We may change, suspend, or discontinue any part of the Services at any time, including features, supported transaction types, or integrations. We do not guarantee uninterrupted availability.

10. Intellectual property

The Services, including all software, designs, logos, and content, are owned by or licensed to the Operator and made available through SafeTransact. You may not copy, modify, distribute, or reverse engineer any part of the Services except as permitted by law.

11. Disclaimer

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, SafeTransact will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity. Our total liability for any claim related to the Services will not exceed the fees paid to SafeTransact by you (if any) in the three (3) months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold harmless SafeTransact, the Operator, and their directors, employees, and partners from claims, damages, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate access to the Services at any time if we reasonably believe you have violated these Terms, created risk, or misused the Services. You may stop using the Services at any time.

15. Governing law

These Terms are governed by the laws of the Republic of South Africa. You agree that the courts of South Africa will have jurisdiction over disputes arising from these Terms or the Services, unless mandatory law provides otherwise.
